Terms of Service

These Terms of Service ("Terms") govern your use of k-factu, the electronic invoicing and accounting platform operated by Krokanti Games SL ("Krokanti", "we", "us"), through its software division Krokanti Software. By creating an account or using k-factu, you agree to these Terms. If you do not agree, do not use the service.

Acceptance of Terms

By accessing or using k-factu, you acknowledge that you have read, understood, and agree to be bound by these Terms. We may update these Terms from time to time; continued use after changes constitutes acceptance. We will notify you of material changes at least 30 days in advance via email or in-app notification.

Accounts

You must create an account via Krokanti Account SSO to use k-factu. You are responsible for maintaining the confidentiality of your account and for all activities that occur under your account. You must provide accurate and complete tax identification information (NIF/CIF/NIE) for invoice generation. You agree to notify us immediately of any unauthorized use of your account.

You must be at least 18 years old and have legal capacity to enter into contracts in Spain to use k-factu for invoicing purposes.

Description of Services

k-factu provides electronic invoicing, expense tracking, OCR receipt scanning, tax report preparation, and Verifactu compliance tools for Spanish freelancers (autonomos) and small businesses (PYMEs). The service includes invoice generation with IVA/IRPF calculations, sequential numbering, credit notes, bank statement reconciliation, and quarterly tax summary preparation.

We reserve the right to modify, suspend, or discontinue any part of the service with 90 days' notice. Free tier features may be reduced or modified at our discretion with 30 days' notice.

Subscriptions and Billing

k-factu offers free and paid subscription plans. Paid plans are billed monthly or annually through Stripe. By subscribing to a paid plan, you authorize us to charge your payment method on a recurring basis. You may cancel at any time; cancellation takes effect at the end of the current billing period.

Prices are in EUR and may be adjusted with 30 days' notice. Annual plans receive approximately 20% discount compared to monthly billing. Refunds are handled according to Spanish consumer protection law (Ley 3/2014).

Verifactu Compliance Disclaimer

k-factu implements Verifactu compliance features per RD 1007/2023 and HAC/1177/2024, including SHA-256 hash chaining, QR code generation, and (when available) AEAT submission. However, k-factu is a tool that assists with compliance — the ultimate responsibility for tax compliance lies with you, the user.

k-factu does NOT constitute tax advice. Tax summaries, Modelo 303/130/131 previews, and any calculations are provided "for review with your asesor fiscal" (tax advisor). We strongly recommend consulting a qualified tax advisor before filing any declarations with the AEAT.

We make reasonable efforts to ensure accuracy of IVA/IRPF calculations and Verifactu hash chains, but we do not guarantee that the service is free from errors. Krokanti is not liable for penalties, fines, or other consequences resulting from incorrect tax filings or non-compliance, whether caused by software errors or user input.

Data Accuracy

You are responsible for the accuracy of all data entered into k-factu, including client information, invoice amounts, tax rates, and expense details. Invoices generated by k-factu are legal documents under Spanish law. Once an invoice is issued, it cannot be deleted — corrections must be made via credit notes (facturas rectificativas) as required by RD 1619/2012.

Acceptable Use

You agree not to use k-factu for any unlawful purpose, including but not limited to: generating fraudulent invoices, misrepresenting tax obligations, attempting to circumvent Verifactu audit trail requirements, reverse engineering the software, accessing other users' data, or using the service to launder money or facilitate tax evasion. Violation of these terms may result in immediate account termination and reporting to relevant authorities.

Intellectual Property

k-factu, including its source code, design, logo, documentation, and all related materials, is the intellectual property of Krokanti Games SL. Your subscription grants you a limited, non-exclusive, non-transferable license to use the service. Invoices, expense records, and financial data you create remain your property.

Limitation of Liability

To the maximum extent permitted by Spanish law (Ley 34/2002 LSSI-CE), Krokanti's total liability for any claims arising from your use of k-factu shall not exceed the amount you paid for the service in the 12 months preceding the claim. Krokanti is not liable for indirect, consequential, or punitive damages.

Specifically regarding tax calculations: Krokanti is not liable for penalties, interest, or additional tax assessments resulting from errors in IVA/IRPF calculations, incorrect Modelo data, or Verifactu submission failures. The service is provided as a tool to assist compliance, not as a guarantee of compliance.

Termination

You may terminate your account at any time through account settings. We may terminate or suspend your account for violation of these Terms, non-payment, or illegal activity. Upon termination, your access to the service ceases, but we retain invoice records, tax data, and Verifactu hash chains as required by Spanish law (minimum 6 years). You may request data export before termination.

Governing Law and Jurisdiction

These Terms are governed by the laws of Spain. Any disputes shall be submitted to the courts of the city where Krokanti Games SL is registered, except where mandatory consumer protection law requires otherwise.
